This legal instrument is currently owner-adopted in English and French. The English text is shown for this interface language until a reviewed convenience translation is available.

1. Operator and agreement

iKOTB is operated by KOTB Group Inc. These Terms govern access to and use of iKOTB. If you use iKOTB for an organization, you represent that you have authority to act for it. A signed order form, beta agreement, Data Processing Addendum or other written agreement may supplement these Terms; a specifically negotiated written agreement controls to the extent of a direct conflict.

2. Current launch state

iKOTB is currently offered on a controlled, invitation-only basis. Public self-service registration and live subscription billing are not active unless KOTB Group Inc. expressly announces otherwise in the Service. Beta, preview, planned or inactive features may change or remain unavailable.

3. Accounts and security

You must provide accurate account information, protect credentials and authentication factors, and promptly report suspected unauthorized access. You may not share credentials in a way that defeats role, organization or security controls. KOTB Group Inc. may suspend access reasonably necessary to protect users, data, the Service or third parties.

4. Customer data and authority

Customers retain their rights in data they submit to iKOTB and grant KOTB Group Inc. the limited rights reasonably necessary to host, process, transmit, secure and back up that data to provide and protect the Service. Customers are responsible for having lawful authority to collect, enter, use and disclose personal information and to instruct iKOTB to process it.

5. Privacy and acceptable use

KOTB Group Inc. handles personal information as described in the Privacy Policy and, for organizational customers, the applicable Data Processing Addendum. You must also comply with the Acceptable Use Policy and all laws applicable to your own property-management activities.

6. No rent or deposit custody

iKOTB provides property-management software. KOTB Group Inc. does not collect, hold, settle, transmit, distribute or act as custodian or trustee for tenant rent, security deposits, trust funds or other customer funds unless a future service is separately documented, legally enabled and expressly agreed in writing.

7. No professional advice

iKOTB does not provide legal, accounting, tax, real-estate brokerage, tenancy, insurance or other regulated professional advice. Customers remain responsible for their own decisions and compliance.

8. Third-party services

The Service depends on third-party hosting, database, authentication, storage, email, DNS and other infrastructure. Those providers may process information in other jurisdictions as described in the Privacy Policy and Subprocessors and Service Providers list.

9. Intellectual property and feedback

KOTB Group Inc. and its licensors own the iKOTB software, branding, interfaces and documentation, excluding Customer Data. Authorized users receive a limited, revocable, non-exclusive, non-transferable right to use the Service for legitimate internal purposes. Voluntary feedback may be used to improve iKOTB without royalty, without transferring ownership of Customer Data.

10. Confidentiality

Each party must use reasonable care to protect non-public confidential information received from the other and use it only for the relationship, except where disclosure is authorized, needed to provide the Service through approved providers, or required by law.

11. Availability, suspension and termination

Unless a separate written service-level agreement says otherwise, iKOTB has no guaranteed uptime, response time or emergency-response commitment. KOTB Group Inc. may maintain or change features and may suspend or terminate access for material breach, unlawful use, security risk, or where required by law. Data return and deletion follow the applicable agreement, Privacy Policy and retention procedures.

12. Disclaimers and liability

To the fullest extent permitted by law, iKOTB is provided “as is” and “as available” and implied warranties that may lawfully be disclaimed are disclaimed. Neither party is liable for indirect, incidental, special, exemplary, punitive or consequential damages. KOTB Group Inc.’s aggregate liability arising from the Service will not exceed the greater of CAD $500 and the fees paid or payable for iKOTB during the preceding 12 months. These limits do not apply where law prohibits limitation, or to fraud or wilful misconduct.

13. Customer indemnity

To the extent permitted by law, an organizational customer will defend and indemnify KOTB Group Inc. against third-party claims arising from unlawful Customer Data, the customer's material violation of law, or use of iKOTB in violation of these Terms, except to the extent caused by KOTB Group Inc.

14. Governing law, notices and mandatory rights

These Terms are governed by Manitoba law and applicable federal laws of Canada. Subject to non-waivable rights to another forum, disputes may be brought in Manitoba courts. Nothing displaces mandatory consumer, privacy, language, tenancy or other statutory rights that cannot lawfully be waived. Legal notices may be sent to contact@ikotb.com. New versions will be published with an effective date and additional notice where required.
